Terms:
We/Us/Our – Onyx Interiors Edinburgh Ltd
You/Your – the consumer who is a client of Onyx Interiors Edinburgh Ltd
Services – the design consultation and supply and fit of bespoke soft furnishings
Products – the supply of bespoke soft furnishings, poles, tracks and rods
1 General
1.1 Onyx Interiors Edinburgh Ltd registered offices: 90/1 Whitehouse Loan, Edinburgh
1.2 As a Client of Onyx Interiors Edinburgh Ltd you agree to these terms and conditions when you instruct Onyx Interiors Edinburgh Ltd to complete a project or service and the deposit is paid.
2 Engagement
2.1 We accept engagement for bespoke soft furnishing services for domestic customers through our website, by email and phone
2.2 In most cases, a home visit will be arranged to discuss the project in detail and provide the customer with a quote. A design fee will be charged for the home visit and initial consultation. Travel expenses will be charged at 45p per mile.
2.3 A written quotation will be provided before commencing any work. This will include fees and an estimate of realistic timescale for completion. This must be agreed before any work starts. The quote is valid for 30 days from date of issue.
2.4 The client may request changes to the quote before accepting it.
.5 If the client wishes to make changes after accepting the quote, please contact us in writing and we will advise if the change can be accommodated, along with any changes to the fees payable as a result. If we cannot accommodate the changes or the changes to the fees or other matters are not acceptable to you, you may cancel in accordance with clause 5.
2.6 If Onyx Interiors Edinburgh Ltd is unable to deal with any request, we will inform you as soon as is reasonably practical.
2.7 In the event that the Client requires Onyx Interiors Edinburgh Ltd to carry out or arrange for services to be performed at a particular location the client must give reasonable access to the location for the service concerned to be completed

3 Deposit, fees and payment
3.1 At the time of accepting the quotation or not more than seven (7) calendar days thereafter, depending on the nature of the work and any specialist products required in advance, the client will be required to pay us a deposit. The deposit will be fifty percent (50%) of the quoted fee (unless otherwise agreed). We will not commence a Project until the Deposit is paid in full.
3.2 If you cancel the service, we may retain some or all the deposit as set out in clauses 5,6 & 7.
3.3 Depending on the size of the project, a partial fee may be requested part way through the project. This will be agreed beforehand and made clear in the agreement.
3.4 The final balance will be due prior to the delivery and/or instalment of products
3.5 The installation fee may be altered if additional works are required onsite however this will be discussed with the client.
3.6 If the client does not pay an invoice by the due date, we may charge interest on the overdue sum at the rate of eight percent (8%) above the base rate of the Bank of England. Interest will accrue daily from the due date until the actual date of payment.
3.7 If the Client decides not to proceed with the quotation, a fee will be charged to cover mileage and work undertaken to that point, such as home visits and sourcing.
3.8 A voucher or discount may not be use in conjunction with any other offer.

4 Problems with our service
4.1 Faulty products: If you discover a defect with one or more products supplied by us, you should inform us using the contact details above and within 30 days of installation. Hardware such as poles and tracks have a supplier warranty.
4.2 If there is a problem with the result of the service, and we have been notified with 30 days of installation, we will do our best to remedy the situation.
4.3 Onyx Interiors Edinburgh Ltd cannot be held responsible for the work of sub-contractors & tradespeople employed on Onyx Interiors Edinburgh Ltd jobs and thus will not be made financially liable to remedy any issues caused by third parties. It is the responsibility of the client to agree to any third party terms and conditions.

5 Cancellation
5.1 The client has the right to cancel during the cooling off period. This period begins once the contract is formed and ends after 1 week (7 days). If you wish to cancel during this period you should do so in writing as soon as possible.
5.2 If you cancel during the cooling off period, you will be entitled to the return of the deposit, minus any design fee agreed at the time of signing
5.3 Should you wish to cancel after the cooling off period, you may lose the entire deposit, depending on any bespoke products/work (such as fabrics/labour) that have already been ordered/started. Should the deposit not cover this cost, you will be invoiced for the remaining amount.

6 Termination
6.1 The contract may be terminated by the client or Onyx Interiors Edinburgh Ltd due to the following conditions:
6.1.1 There is a breach of the contract and failure to remedy the breach within 21 days.
6.1.2 The company enters liquidation
6.1.3 A start date cannot be agreed
6.1.4 We cannot continue due to an event out with our control
6.1.5 There has been no return communication from either party for a duration of 4 weeks
6.1.6 There is failure to pay by the client
6.1.7 We are unable to gain access to the property
6.2 If at the termination date, you have made a payment (including but not limited to the deposit), we will endeavour to return this as soon as possible, assuming that bespoke products have not already been ordered.
6.3 We will have the right to deduct a cancellation fee to cover any work already undertaken such as emailing, site visits and design consultation, outstanding orders
6.4 If we have provided services that have not already been paid for then you will be invoiced for those sums.

Effects of termination
7.1 If the Agreement is terminated for any reason:
7.1.1 Any clauses which, either expressly or by their nature, relate to the period after the expiry or termination of the Agreement will remain in full force and effect.
7.1.2 Termination will not remove or reduce any right to damages or other remedy which either you or we may have in respect of any breach of the Agreement which exist at or before the date of termination.

8 Liability and limitations
8.1 We will maintain suitable and valid insurance including public liability insurance
8.2 If we cause any damage to the property, we will make good that damage at no additional cost to you. We are not responsible for any pre-existing faults or damage in or to your property that we may discover while providing the our Services.
8.3 We are not liable for any loss or damage you suffer which results from your failure to follow any reasonable instructions given by us.
8.4 You agree that we will not be liable for any losses or damages or other adverse financial consequences arising from a breach or failure on the party of an independent third party contractor. You further acknowledge and agree that in regard to contractor and retailer, etc, Onyx Interiors Edinburgh Ltd acts strictly as a third party referrer and not a provider of such trades, goods and services of any kind, and all contractual relations and arrangements concerning the provision of such trades, goods and services are entirely a matter between you and the relevant contractor(s) and/or retailers and others, Onyx Interiors Edinburgh Ltd is in no way responsible or liable for the provision of such services, and you indemnify Onyx Interiors Edinburgh Ltd entirely in respect of the financial consequences of any breach of contract or breach of duty on the part of you or the third party provider in the provision of your services.
8.5 Our total liability to you in respect of all other losses arising under or in connection with these terms, shall be limited to a sum equal to the quoted Fee.
8.6 Some of the goods sold by Onyx Interiors Edinburgh Ltd are made according to your sizes. It is your responsibility to take the correct measurements of your window, curtain pole or track. If you are unsure about any products or how to measure please contact us for help before ordering or consult the online measuring guide. You must check the product details and measurements of the goods before placing your order and are responsible for checking the order via the email confirmation. We cannot accept returns or refund the money if you have given us incorrect measurements as we will not be able to resell the goods as they are made to measure.
8.7Please note that fabric is cut by highly skilled professionals who will be as accurate as possible within a variance of +/- 5mm (3cm in the case of soft fabric products such as curtains). We will not replace the order if the sizes are within the tolerance limit and you will not be entitled to reject the goods

9. Right to Photograph the Work. Owner shall permit Onyx Interiors Edinburgh Ltd, without compensation, to take photographs at the project site of both completed work and work in progress, for purposes including, but not limited to, publication in newspapers, magazines, and other print media, use in broadcast media, publication via the Internet, and use in marketing materials used by Onyx Interiors Edinburgh Ltd. Such photographs and any accompanying descriptions shall not identify the owner or the property address of the project without the express written consent of owner.

Our Site is hosted on the Wix.com platform. Wix.com provides us with the online platform that allows us to sell our products and services to you. Your data may be stored through Wix.com’s data storage, databases and the general Wix.com applications. They store your data on secure servers behind a firewall.

We will only keep data for as long as necessary to fulfil the purposes we collected it for. We may keep data for legal, accounting and reporting purposes as required.
